Your New Job
The Position
As Congruex’s Senior Corporate Counsel, you will play a key role in helping our Legal team mitigate risk for the company. Reporting directly to the Vice President, Commercial Legal, this is an exciting opportunity to help support our operational field teams in the execution of the Company’s long-term strategy. You will provide advice and counsel on a variety of commercial matters across the Company, as well as assist in training, process improvement and development of general best practices.
You will have the opportunity to own challenging legal projects and to work collaboratively with a variety of stakeholders to help drive profitable growth and support the continued evolution of the Company as a whole. You will provide legal advice on certain commercial matters for Congruex and will assist in the drafting, review and negotiation of a wide variety of commercial construction contracts, including large customer, vendor and subcontractor agreements, as well as real estate and other transactional agreements. You may occasionally be responsible for managing, overseeing and providing legal advice on general liability, auto and other litigation matters and you may, from time to time, be asked to support the Company’s People Services team with employment-related matters.You should enjoy close collaboration with legal and non-legal colleagues and approach legal issues practically and with a problem-solving and business-oriented enterprise first mindset. This role will have a close working partnership with and provide guidance to risk management, safety, and commercial services, as well as operations and the business more broadly.
Job Responsibilities (Including, but not limited to):· With oversight from the Vice President, Commercial Legal, draft, review and negotiate bid documents, terms & conditions, purchase orders, statements of work, commercial construction contracts, master service agreements, subcontracts, non-disclosure agreements, real estate leases, vendor agreements and other commercial transactional documents.
· Identify potential legal risks and liabilities associated with proposed commercial terms and provide appropriate proactive risk mitigation solutions to Project Sponsors, Regional VPs, and other field leadership.
· Assist in the management and resolution of commercial disputes, including drafting or responding to demand letters, participating in and preparing business teams as needed in settlement negotiations and alternative dispute resolution processes.
· Provide input into policies, processes, systems and training, and provide guidance to ensure the organization operates in compliance with changing legal and regulatory requirements, industry standards, contracts and internal policies.
· Support litigation, commercial and claims related aspects of mergers, acquisitions, and strategic investments, including due diligence and related integration efforts.
· Periodically interact with carrier and internal claims adjusters, participate in claims reviews, and assist in providing required documentation to support claim resolutions.
· Assist the safety team and the organization on legal compliance requirements to promote and support our safety culture.
· Provide timely updates on legal projects and produce accurate reports for the Vice President, Commercial Legal, the General Counsel and other company leadership as assigned.
· Periodically assist in the management of the company’s litigation function, to include: working with stakeholders to implement legal holds; review and assist in responding to pleadings, discovery and other litigation matters; provide input on the strategy of cases: manage outside counsel; take appropriate steps to efficiently and cost effectively handle cases; make settlement recommendations with a strong basis in fact and legal theory; learn from claims history and litigation to continuously improve processes and appropriately mitigate risk; and resolve litigation matters efficiently and cost-effectively with appropriate approvals.
· Occasionally provide risk-adjusted advice to the People Services teams and other business partners on employment-law-related matters, assist in overseeing and advising on internal investigations and coordinate responses to inquiries or investigations from regulatory agencies as needed.
· Develop solid business relationships with internal business clients to understand their goals and priorities and advise on relevant legal issues, risks and strategies.
Required Skills & Qualifications:
· Juris Doctor degree from an accredited law school.
· An active law license in Colorado (licensing in other states will be considered).
· 7-10 years of general commercial transaction practice, with high preference for candidates with a mix of law firm and in-house experience.
· Prior experience drafting and negotiating complex commercial contracts, with preference for experience in the telecommunications and fiber network construction space.
· A general understanding of core US employment law principles is desirable, with preference given for candidates also having the stated commercial experience.
· Ability to spot, analyze and distill complex issues, devise practical strategies and solutions and provide actionable advice.
· Willingness to learn and support the Legal team’s efforts to address the emerging needs of the Company by developing new expertise in addition to your existing skills and abilities.
· Ability to work efficiently and independently and to communicate effectively, both verbally and in writing.
· Ability to react calmly and appropriately in situations requiring quick thinking and short turnaround times.
· Must be proficient in Microsoft suite (Word, Outlook, Excel, BI, PowerPoint, etc).
